This Affiliate Program Agreement (“Agreement”) governs your participation in the Affiliate Program operated by Nomi Prins LLC (“Company,” “we,” “us,” or “our”). By accessing your Affiliate Dashboard or utilizing your assigned promo codes and referral links, you (“Affiliate,” “you,” or “your”) agree to be bound by the terms outlined below.
Program Overview & Individualized Terms
Invite-Only & Manual Onboarding: Participation in this Affiliate Program is by invite or approval only. Accounts are manually created and configured by Company administrators.
Variable Financial Terms: Specific referral commission percentages, promotional discount rates, referral cookie durations, and multi-year or recurring payout structures are negotiated on an individual basis.
Precedence of Written Individual Agreements: Specific financial and duration terms will be defined in writing between the Affiliate and the Company (via email, custom contract, or designated rates inside the Affiliate Dashboard). In the event of any conflict between this general Agreement and an individually executed written agreement, the terms of the individual agreement shall take precedence regarding commission percentages, discount values, and payout timing.
Referral Tracking & Commission Eligibility
Link and Code Attribution: Commissions are tracked using custom referral links (via tracking cookies) or specific, assigned promotional codes entered at checkout.
Qualified Sales: A referral is considered qualified when a customer completes an eligible purchase using your assigned referral link or promo code, and the transaction is fully processed and cleared.
Exclusions & Self-Referrals: Affiliates are strictly prohibited from earning commissions on their own purchases or accounts created for personal use. Commissions generated through unauthorized self-referrals or fraudulent activity will be forfeited immediately.
Promotional Guidelines & Code of Conduct
FTC & Regulatory Compliance: You must clearly and conspicuously disclose your affiliate relationship with the Company in accordance with Federal Trade Commission (FTC) guidelines (or local regulatory equivalents). Disclosures must explicitly state that you receive a financial commission or compensation if a customer makes a purchase using your link or code (e.g., using explicit statements or tags like #ad, #affiliate, or “Sponsored”).
Search Engine & Brand Protections:
- You may not bid on Company trademarks, brand names, or variations thereof in pay-per-click (PPC) campaigns (e.g., Google Ads, Bing Ads).
- You may not create social media accounts, domain names, or websites that impersonate the Company or imply official ownership by the Company.
Prohibited Marketing Practices: You agree not to engage in any of the following:
- Sending unsolicited commercial emails (“Spam”) or unauthorized mass messaging.
- Making deceptive, misleading, false, or unsubstantiated claims regarding the Company’s services or products.
- Publishing referral links or codes on coupon aggregator websites, discount forums, or automated coupon-scraping browser extensions unless explicitly authorized in writing.
Intellectual Property & License
Limited License: We grant you a revocable, non-exclusive, non-transferable, limited license to use our brand assets, logos, and approved promotional media solely for the purpose of promoting our products and services under this Program.
Ownership: All intellectual property rights in our logos, branding, marketing materials, and website content remain the sole property of the Company.
Term & Termination
Termination at Will: Either party may terminate participation in this Affiliate Program at any time, with or without cause, by providing written notice (via email) to the other party.
Immediate Termination for Cause: The Company reserves the right to immediately suspend or terminate an Affiliate account, invalidate accrued commissions, and revoke access to the Affiliate Dashboard if the Affiliate violates any provision of this Agreement, engages in fraud, or harms the brand reputation of the Company.
Effect of Termination: Upon termination, all rights and licenses granted to the Affiliate shall immediately cease, and the Affiliate must remove all promotional links, codes, and brand references from their channels.
Product Discontinuation & Program Wind-Down: If a product or the Affiliate Program is discontinued, tracking will end on the date of cessation. Final commissions for valid referrals generated prior to termination will be paid in the standard cycle following the close of that final period, fully satisfying the Company’s financial obligations.
Limitation of Liability & Disclaimers
Disclaimer of Warranties: The Affiliate Program and tracking platform are provided on an “as is” and “as available” basis. We make no express or implied warranties regarding system uptime, continuous tracking accuracy, or earning guarantees.
Limitation of Liability: To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, special, incidental, or consequential damages arising out of or in connection with this Agreement or the Affiliate Program.
Modifications to General Agreement
We reserve the right to update or modify this Agreement at any time. Updated versions will be posted to this page with an updated “Last Updated” revision date. Continued participation in the Affiliate Program after any modifications constitutes acceptance of the revised terms.
